Terms of Service

These terms are a contract between you and August (“August”, “we”, “us”) covering the August HQ desktop app and this website. By joining the waitlist, installing the app, or using either, you agree to them. We’ve kept them in plain language on purpose — the plain reading is the intended one.

1 · Early access

August HQ is in early access. Joining the waitlist doesn’t guarantee access; we invite people in batches. Early builds change quickly, may have bugs, and features may be added, changed, or removed without notice. If something breaks, tell us and we’ll fix it — but during early access the app is provided for evaluation and we make no availability commitments.

2 · Your license to use the app

We grant you a personal, non-exclusive, non-transferable license to install and use August HQ for your own use, including internal use at your company. You may not resell, redistribute, rent, or offer the app as a service to third parties, and you may not reverse engineer it except where the law says we can’t stop you.

3 · Your accounts, keys, and costs

August HQ works with model subscriptions and API keys that belong to you — Claude, ChatGPT, or any other provider you connect. Three things follow:

  • You’re responsible for complying with each provider’s own terms when you use them through August HQ.
  • Usage costs charged by those providers are yours. The app shows you cost as it runs, but the meter is theirs, not ours.
  • Keep your keys secure. They’re stored on your machine, and your machine is in your care.

4 · Agents act on your instructions

August HQ lets AI agents draft, code, browse, and — with your approval — send email, publish posts, and merge code. You decide what auto-approves and what waits for you. Because the agents work under your direction and with your accounts, you are responsible for what they do and for what you approve: for reviewing output before relying on it, and for making sure your use complies with the laws that apply to you.

AI output can be wrong, and sometimes confidently wrong. Verify anything that matters — code before it ships, claims before they publish, numbers before they’re trusted.

5 · Acceptable use

Don’t use August HQ to:

  • break the law or the rights of others;
  • create or spread malware, spam, or deceptive content at scale;
  • abuse, overload, or circumvent limits of the providers and services your agents connect to;
  • probe or disrupt our systems or other people’s.

We can suspend or end access for violations.

6 · Paid plans (when they launch)

Free stays free. Paid plans, when live, are billed through Stripe monthly or yearly; you can cancel anytime and keep access until the end of the paid period. Prices can change, but never mid-cycle and never without telling you first. If we promised you a price, it stays promised.

7 · What’s ours, what’s yours

The app, its design, and its code are ours. Your content — your conversations, your data, and the work your agents produce for you — is yours, to the extent the law and your model providers’ terms allow. If you send us feedback, we can use it to improve the product without owing you anything; that’s the only claim we make on anything of yours.

The agent harnesses and CLIs August HQ orchestrates — Claude Code, Codex, and the rest — belong to their vendors and come with their own licenses. August HQ is not affiliated with or endorsed by those vendors.

8 · Disclaimers

The app is provided “as is” and “as available”, without warranties of any kind — express, implied, or statutory — including fitness for a particular purpose and non-infringement. We don’t warrant that the app will be uninterrupted or error-free, or that AI output will be accurate.

9 · Limits on liability

To the maximum extent the law allows: we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or business, arising from your use of the app — including actions taken by agents you configured or approved. Our total liability for any claim is capped at the greater of $100 or what you paid us in the twelve months before the claim. Some jurisdictions don’t allow certain limits, so parts of this may not apply to you.

10 · Ending things

You can stop using August HQ anytime — your data is on your machine and stays with you. We can suspend or terminate access that violates these terms. Sections 7–11 survive termination.

11 · Changes, law, and contact

If we change these terms materially, we’ll update this page and notify users by email before the change takes effect. These terms are governed by the laws of the jurisdiction in which August is organized, without regard to conflict-of-law rules.
